A private company may have a single member, and it may not have more than fifty. Its articles restrict the transfer of shares and prohibit any invitation to the public to subscribe. Those three limits are what make the company private under Cyprus company law.

Cyprus sets no minimum capital for a private company and nothing has to be paid up on formation. The usual arrangement is EUR 1,000 divided into 1,000 shares of EUR 1, which is a market habit rather than a rule, and the figure sits on the public company file.

A group with subsidiaries in three countries has tax taken on the way out of each one and no single place where the ownership sits. A Cyprus parent gives it one, inside the Union that both the directives and over sixty-five treaties reach from.

  2. Dividends arrive and leave untaxed

    Cyprus exempts most dividends a company receives, and takes nothing when the money is paid on to shareholders abroad.

    Profit on selling shares sits outside the corporate charge, and the buyer takes every subsidiary in one transfer.

Intellectual property

Rights owned in one place, with four fifths of the qualifying profit deducted

When each operating company owns what it sells under, the group's rights follow whichever market they happened to be registered in, and one closure or sale can carry some of them off. Cyprus is one of the few places inside the Union that will both gather them and tax the income on them lightly.

    Patents, copyrighted software and the other qualifying rights are transferred into the name of the Cyprus company.

  2. The deduction follows the spending

    Eighty per cent of the profit from rights the company itself paid to develop is deducted before the rate reaches the rest.

    Closing or selling an operating company leaves the portfolio where it is, under the same owner and the same written terms.

Financing

One company lends to the rest of the group, and the interest crosses under a treaty

A group that funds its subsidiaries from wherever the cash happens to be sitting ends up with loans running in every direction and a different answer at every border. Putting the lending in one Cyprus company gives every loan the same paper and the same treaty behind it.

    Shareholders and outside lenders put money into the Cyprus company, where the group's borrowing is arranged.

  2. It lends on at a margin

    Each company below borrows on written arm's length terms, and only the margin left behind in Cyprus is charged.

  3. The interest leaves clean

    Treaties reduce what is taken when interest comes in, and Cyprus takes nothing when it is paid on to a lender abroad.

Trading

Buys in one member state and sells in another on a single VAT number

A trader moving goods between member states needs a VAT number both sides can check and a customs entry it only has to make once. Both come with being established inside the Union, and neither is available to a company formed outside it.

    The supplier contracts with the Cyprus company and quotes its VAT number, so the supply crosses with no VAT on it.

  2. It sells in another

    The customer is invoiced by the Cyprus company, and the same number is reported on both sides of the transaction.

  3. The goods never come here

    They ship from supplier to customer directly. Only the contracts, the VAT reporting and the payments run through.

Shipping

A ship carries its flag, its crew contracts and its cover with it, and the company that manages it is taxed wherever that company sits. Cyprus is the member state that charges owners, charterers and managers on tonnage instead, which is why so much ship management is run from here.

  1. One vessel, one company

    The vessel is held by one Cyprus company and flies the flag of an EU member state in that company's name.

  2. Tonnage takes the place of profit

    Qualifying owners, charterers and managers are charged on net tonnage, and the crewing work may sit here as well.

  3. A sale is a share transfer

    The company is sold rather than the vessel, so nothing has to leave the Cyprus flag and come back onto it.

A group that wants Cyprus rates and Cyprus treaties on income arriving from abroad has to be able to show a tax office at the far end that the company is more than a name on paper. That means people, premises, and the decisions being taken in the Republic.
