We help you incorporate an International Business Company in Seychelles

Expanship is a privately owned company. We are not a government agency, department, registry or regulator, and we are not affiliated with, endorsed by, or acting for the Government of Seychelles or the Financial Services Authority (Seychelles). We advise you, prepare and coordinate your paperwork, and handle the incorporation on your behalf; whether a company is approved, and when, is decided by those authorities alone.

Requirements

What goes into a Seychelles International Business Company, and who provides it

For a Seychelles IBC there are nine items to have in place. We supply two as part of the package, one is optional, and you decide the other six with our help.

At least one director

One director is enough and there is no upper limit. A director may live anywhere and may be a company rather than a person. The Register of Directors goes to the authorities in Seychelles, who hold it back from public inspection.

At least one shareholder

One shareholder is enough, and the same person may hold the shares and sit on the board. A company may be a member. The Register of Members stays at the registered office in Seychelles and is filed nowhere, so it never reaches a paid company search.

Beneficial owners identified

The people who ultimately own or control the company are traced through every holding company until a person is reached. Their details sit on a register held by the registered agent and are entered on the beneficial ownership database, which is closed to the public.

Officers, only if the board wants them

A Seychelles IBC is not asked for a company secretary or for any other officer, and a common seal is optional rather than required. The directors may appoint a president, a treasurer or a secretary by resolution when a counterparty expects the title.

A registered agent in Seychelles

Every Seychelles IBC must have a registered agent in the country at all times, and the agent is the company’s channel to the authorities. It keeps the registers the law requires and is the address the authorities write to. It comes with every package.

A registered office in Seychelles

The company needs an address in Seychelles, and the law fixes it as the agent’s own place of business, so it arrives with the agent and you lease nothing. It is also where the registers and a copy of the accounting records are held.

Entity Subtypes

A Seychelles International Business Company comes in six forms

The first form is the one almost every Seychelles IBC takes, and it is right for most plans. The rest cover particular uses: cells kept apart from one another, a company that holds a family trust, or one with a set life. Select a form to read about it, or let our experts recommend one.

Limited by shares Limited by sharesand guarantee Limited by guarantee Protected cell company Private trust company Limited life company

Members subscribe capital

Limited by shares

The form nearly every Seychelles IBC takes. Members subscribe for shares, the company owns what it owns in its own name, and it answers for its own debts.

What people build with it

Have a different structure in mind?

Tell us what the company will do

Holding

One company above the businesses a single owner has built in several countries

An owner with a workshop in one country, a distributor in another and a stake in a third signs three sets of shareholder papers, answers three sets of company law, and negotiates three sales if any of it is ever sold. One company above them makes ownership a single thing to hold and a single thing to hand on.

  1. The shares move up one floor

Each business below records the Seychelles company in its own register of members as the holder of its shares.

  2. Dividends arrive in one account

Income earned outside Seychelles is outside the charge, though a group needs real substance here to hold it.

  3. One signature moves everything

A buyer takes the Seychelles company's shares, and every business underneath changes hands without its own transfer.

One owner The company The workshop The distributor A minority stake Country A Country B Country C One owner, three businesses

Trading

Buys in one market, invoices another, and ships between the two

A trader sourcing in Asia and selling into East Africa or the Gulf does not want the supplier reading the customer's terms, and does not want either country's rules attaching to the whole chain. The contracts move to a company standing outside both of them.

  1. It signs with the supplier

The purchase contract names the Seychelles company, and title to the goods passes to it where the goods sit.

  2. It invoices the customer

The sale is billed by the Seychelles company and paid into its own account, in whichever currency was agreed.

  3. The goods never call here

They ship from supplier to customer directly. Only the paperwork and the money run through the company.

Supplier The company Customer Invoice in Invoice out Goods ship direct Contracts and the bank account sit with the company

Services

One company invoicing consultancy, software and contract work wherever the clients are

A consultant or a small studio billing clients in a dozen countries is handed a different contract, a different tax form and a different set of bank details by each of them, and is invoicing from wherever the founder happened to be living that year. One company gives the work a single counterparty and a single set of terms.

  1. Every engagement names one party

Clients contract with the Seychelles company on the company's own terms, whoever does the work that month.

  2. One account takes every currency

Fees are billed and received by the company, and Seychelles puts nothing in the way of moving them.

  3. The practice can be handed over

The contracts, the client list and the working papers sit inside the company, so the practice sells as shares.

The company Client Client Client Client Engagement Invoice One counterparty, one set of terms

Investment holding

Listed shares, fund units and property abroad held together for one family

A family holding a brokerage account in one country, fund units in another and an apartment in a third repeats the same identity checks at every institution, and every holding has to be dealt with separately when it passes on. One company gathers them.

  1. The holdings get one name

The workshop, the distributor and the minority stake are all owned through one Seychelles name instead of three.

  2. One set of answers for everyone

Each institution is given the same corporate pack and the same ownership position rather than a new family tree.

  3. It passes on as shares

The next generation receives shares in the company, and nothing underneath is sold, retitled or moved.

The company Listed shares Fund units Property abroad One family, one set of statements

Vessel ownership

One vessel per company, so the boat changes hands as a share transfer

A yacht carries its flag, its crew contracts, its management agreement and its cover with it, and selling the hull on its own unpicks every one of them. Owning it through a company keeps them attached to the thing being sold.

  1. One vessel, one company

The yacht is the company's only asset, so nothing else the owner holds is exposed to what happens to it.

  2. Everything is in its name

The company is the party on every paper the vessel carries, so the owner never changes when the crew does.

  3. A sale is a share transfer

The buyer takes the company, so the flag, the crew and the cover carry on without being rewritten.

The company Seller Buyer Shares One vessel, held in the company's name

Cells

One company divided into cells, so what one venture owes cannot reach another

An owner running four ventures inside one company has four sets of creditors who can all reach the same pot, and forming four companies means four fees, four agents and four sets of records to keep. Cells put walls inside a single company instead.

  1. Each venture is given a cell

Assets are subscribed into a named cell, and shares are issued against that cell rather than the company.

  2. Creditors stop at the wall

What one cell owes is met out of that cell's assets. Another cell's assets and the core are out of reach.

  3. A cell can be sold on its own

The cell's shares change hands and the other cells carry on inside the same company, with nothing re-papered.

Expanship is a private company, not a government agency. Whether a company is approved, and when, is decided by the authorities alone.

Government fee: All packages include the government fees payable in Seychelles to form the company and carry it through its first year. The fee is flat, so it does not rise with your authorised share capital, and from year two it falls due on each anniversary of incorporation.

Pros and cons

Is a Seychelles International Business Company right for your plan?

Both columns carry the same weight here: the strengths of a Seychelles IBC, and the obligations that come round each year. Ask our experts which matters more for your situation, and you will get a straight answer.

In its favour

What it gives you

  • Foreign income out of the charge

Seychelles taxes what is earned in Seychelles. Income from activities, goods and rights abroad sits outside the charge.

  • One director, one shareholder

Either may be a person or a company, resident anywhere. No local director, no company secretary, no staffed office.

  • Owners off the public file

Members and beneficial owners are recorded in Seychelles but filed nowhere public, so no paid company search reaches them.

  • Capital on your own terms

No minimum to subscribe, any currency, several classes, and a yearly fee that does not rise with the authorised capital.

  • Everything already in English

The law, the constitution and the registers are all in English, so nothing has to be translated for a bank or a buyer.

To weigh against

What it asks of you

  • No double tax treaty relief

An IBC sits outside the treaty network Seychelles has built, so income from abroad arrives with tax already taken at source.

  • Records have to reach Seychelles

Accounting records are lodged at the registered office twice a year, and most companies keep a yearly financial summary there.

  • A bill whether it trades or not

The government fee, the registered agent and the registered office all fall due on the anniversary in a year with no activity.

  • Private rather than secret

Directors and owners are recorded with the authorities and the agent, and account data is exchanged under CRS and FATCA.

  • Your own tax office still counts

Controlled foreign company rules at home can tax the profits as yours, and a large group loses the foreign income relief.

How it runs

Seychelles keeps a strict calendar. So do we.

The accounting records have to reach Seychelles on a schedule, and the fee has its own date. We hold every one of them from the day the company is formed, prepare each delivery ahead of time, and come to you in good time for the records only you hold.

A Seychelles IBC carries thirteen duties for life. We carry twelve.

We hold twelve of them, from the day the company is formed in Seychelles to the day you close it. The only thing we need from you is an answer when we ask for one: the records behind the yearly summary, or a word when something about the company changes.

FAQ

Seychelles International Business Company questions, answered

What people ask before forming a Seychelles IBC with us, and what they ask about the company once it exists. For anything else, our specialists reply in writing.

Working with us

Three to seven business days, depending on the package. Basic runs about seven business days and Premium about three. The count begins once your identity papers are complete and your checks have cleared. From there the memorandum and articles are signed and lodged, and the authorities in Seychelles incorporate the company at their own pace. We hold the file throughout and tell you the moment the company exists.

Yes. A Seychelles IBC is formed entirely at a distance, and nothing has to be signed on the islands. Your passport, address proof and source of funds are reviewed remotely, the sole subscriber to the memorandum may be the registered agent, and the registered agent and office come with the package. Once the company exists, the corporate kit is sent to you anywhere in the world by express courier.

Everything a Seychelles IBC needs to exist and to run for its first year. Basic at US$649 covers the government incorporation fee, the name checks, the memorandum and articles, the registered agent and registered office for year one, the registers of directors, members and beneficial owners, and your digital Certificate of Incorporation. Premium at US$1,299 adds the company seal, the paper original and the attested set banks tend to ask for. The government fee is flat, so a larger authorised capital changes nothing.

Yes. Every package includes support in opening a multi-currency business account with Airwallex, subject to the provider's own checks. For a traditional bank, we advise on which ones read a Seychelles IBC well, prepare the corporate papers the bank will ask for, and answer the questions banks put to a company owned from abroad. The decision to open the account rests with the bank, and we say so from the start.

Thirteen duties follow a Seychelles IBC, and twelve of them sit with us inside the annual engagement at US$599 a year from year two. That covers the government fee on each anniversary, the delivery of your accounting records to Seychelles twice a year, the annual financial summary, the registered agent and office, and every change to directors, owners or the constitution. Your part is to keep the records behind the accounts and to send them when we ask.

Both. Moving a Seychelles IBC to us means changing its registered agent, a one-time US$350, and the annual engagement then runs at US$599 a year. The company keeps its name, its number and its history, and nothing about the entity changes. When a company has done its work, we advise on bringing it to an orderly end, with the fees settled and the records in place, and manage the steps on your behalf under a separate quote.

No. Under Seychelles law only a registered agent on the islands may lodge the incorporation of an IBC, so there is no route that starts with you alone. What we add is the part that saves time and errors: advice on whether an IBC and which of its six forms fit your plan, preparation of the memorandum and articles, management of the whole process on your behalf, and a team that stays with the company for every date afterwards. We are an independent corporate services provider, not a government body.

No. Expanship is a privately owned company. We are not a government agency, department, registry or regulator, and we are not affiliated with, endorsed by, or acting for the Government of Seychelles or the Financial Services Authority (Seychelles). We advise you, prepare and coordinate your paperwork, and handle the incorporation on your behalf. Whether a company is approved, and when, is decided by those authorities alone.

Our own work: advice on the right structure, due diligence on every member, preparing and coordinating the incorporation paperwork, handling the incorporation on your behalf, and the first year of registered agent and registered office. The government fees are set by the Seychelles authorities, not by us, and are passed on at cost inside the package price.
