Setting up a Limited Liability Company in Belize: what you need

A Belize LLC needs nine things in place. We provide two of them, two more are optional, and the remaining five are choices we settle together.

Belize asks a limited liability company for no board and no director. The members may run it themselves, which is the default, or hand the running of it to one or more managers under the operating agreement. A manager may be a member, and need not be.

Asset protection

Assets held so that a member's own creditor cannot reach into them

Someone carrying a professional exposure at home, or a claim they can already see coming, does not want a personal judgment to arrive as a forced sale of the family's holdings. The holdings move into a company whose statute says what a creditor of a member may take, and the answer is narrow.

  1. The holdings go in

    Investments and property abroad are transferred to the company and recorded against each member's interest.

  2. A creditor gets a charging order

    A judgment against a member reaches the distributions on that interest, and Belize makes that the only remedy.

  3. The company keeps running

    A charge carries the rights of an assignee and no vote, so it forces no sale and takes no seat at the table.

Capital and control

One member funds it, another runs it, and the agreement splits both

Two people going in together rarely go in equally. One writes the cheque and wants no part of the day to day; the other has the time and the skill and no capital to put beside it. A share register can only describe that as a percentage, and a percentage is the wrong instrument: it ties the money, the profit and the say-so to one number.

    Cash from one member and property from the other go in as contributions, each against its own capital account.

  2. Profit and control come apart

    The agreement can return the money first and hand the running of it to the member who is not funding it.

Belize does not tax the company, and each member's own country decides

A member who is already taxed at home does not want a second entity standing between them and the profit, adding a layer their own country may or may not give them credit for. Belize treats this one as looked through, so the entity is not the taxpayer here and the question moves to where each member actually lives.

A family that wants the children in the structure rarely wants them voting on it from the first day, and a share company forces the two together: give the shares and you have given the votes with them. Here the money and the say-so are two separate provisions in one agreement.

Consultants, traders and studios working across borders end up signing personally, invoicing personally and carrying the risk personally. Putting a company on the paperwork moves all three off the individual, and this one does it without a board to appoint, a secretary to pay or a meeting to hold.
